Report about the first three quarters

Sales up almost 28% in the first nine months
- Earnings situation negatively impacted by one-off effects
-Share exchange possible to December 7, 12:00 CET
-Delisting planned in 2002

In the first nine months of the 2001 financial year BRAINPOOL TV AG increased its sales by 27.7% to EUR 36.9 million (previous year period EUR 28.9 million. In the traditionally weaker third quarter (summer break) BRAINPOOL generated EUR 7.4 million (Q3/2000: EUR 9.0 million). In the first nine months sales in the TV Licenses division totalled EUR 28.3 million. The Merchandising division produced sales of EUR 5.8 million, the Internet division EUR 0.9 million, with the Events division contributing EUR 1.9 million. On November 7, 2001 BRAINPOOL had already announced a correction of the sales forecast to EUR 54 million for 2001.
The earnings situation in the third quarter was marked by one-off effects, to be seen in connection with the merger of BRAINPOOL TV AG and VIVA Media AG. After nine months EBIT was minus EUR 13.6 million, after EUR 2.8 million in the corresponding period of the previous year. The net result of the period (after taxes and minorities) was minus EUR 7.8 million (previous year period: EUR 1.5 million). The one-off effects of roughly EUR 6 million came from goodwill write-downs, valuation adjustments and special depreciations. In the fourth quarter BRAINPOOL again expects a positive result and forecasts an EBIT of minus EUR 12 million for the whole of the 2001 financial year. For 2002 BRAINPOOL expects to post much more positive figures again. The VIVA Group, extended now by BRAINPOOL, anticipates 2002 sales of over EUR 125 million and an EBIT exceeding EUR 40 million.

As announced on November 6, 2001, VIVA already holds a 64.5% stake from holdings of the original BRAINPOOL shareholders. The offer to the outstanding shareholders to exchange 2.14 BRAINPOOL shares into one new VIVA share runs until 12:00 CET on December 7, 2001.This exchange offer is strongly supported by the BRAINPOOL TV AG Board of Directors.
